Rights

You understand and agree that Nexus Group S.r.l. has no responsibility or liability for any content ("Linked Content") posted by unaffiliated sites ("Linked Sites") that you or our company may access from the Site or view in any way on the Site through an application programming interface or other method. We do not host or store Linked Content. The display of Linked Content and the inclusion of links to Linked Sites should not be construed as sponsorship or association of Nexus Group S.r.l. with Linked Content, Linked Sites, products, advertising or other material on such sites. You understand and agree that Diageo is not responsible or liable, directly or indirectly, for any damage, loss or cost determined, certain or alleged to be or in connection with the use or launch of any content, goods or services available on the Linked Sites or for any actions taken by such sites. We reserve the right to remove Linked Content from our Site or the Linked Sites, to the extent we are able to do so, at any time and for any reason, including violations of the Terms of Use or applicable terms of use on the Linked Site. Since these are unaffiliated sites, we are not responsible for the user name, password or any other information acquired from such sites. Limitation of Liability

To the fullest extent permitted by law, Nexus Group S.r.l, its officers, directors, employees, agents and assigns assume no liability for any loss, cost or damage (whether direct, indirect, consequential or of any kind) of you relating to your use of the Site or any computer virus transmitted through the Site or other sites accessed through the Site, regardless of whether the loss, cost or damage is due to our negligence or other cause and whether our organization was expressly advised of the possibility of such loss or damage. In no event shall our total liability for all damages, costs or losses and causes of action in the aggregate (whether for breach of contract or tort, including negligence, absolute liability or products liability) relating to your use of the Site exceed, in the aggregate, $100.00.

You agree to hold Nexus Group S.r.l., its officers, directors, agents, employees and representatives harmless against any claim that any information or material provided, including in the future, by you to Nexus Group S.r.l. is contrary to applicable law or violates the rights of any third party (for example, in the case of defamation, invasion of privacy, breach of security, copyright infringement, violation or failure to comply with any intellectual property right). We reserve the right to defend ourselves and handle any claim related to the provision stated above and other issues on the indemnification. You agree to actively cooperate with Nexus Group S.r.l. to ensure such defense.

We reserve the right to limit, suspend or revoke your access to the Site and/or your ability to use any of the Site's services, including interactive services, if we believe that you have violated these Terms of Use. Such limitation, suspension or revocation will not affect any of our rights against you with respect to your violation of the Terms of Use. We may also remove the Site, in whole or in part, or its features at any time. Note: We have the ability to trace your IP address and, if necessary, contact your Internet service provider in the event of a suspected violation of the Terms of Use.

Comprehensive Contract

The Terms of Use, including our privacy and cookie policy, constitute a complete contract between you and Nexus Group S.r.l. with respect to the subject matter covered and supersede all promises, representations, contracts, directions, and understandings of any kind between the two parties. Where software is available through the Site, it may be subject to a License Agreement provided with or included in the software itself. You agree to abide by the Terms of Use of such license agreements. Failure to exercise or enforce any right or provision of the Terms of Use shall not constitute a waiver of such right or provision. Should a court of competent jurisdiction declare a provision of the Terms of Use to be unenforceable or invalid, the parties agree that the court will endeavor to carry out the parties' intentions as indicated by the provision. The other provisions of the Terms of Use will still be valid and maintain their validity and effectiveness. At our discretion, we may assign, assign, or transfer all or any part of our rights and obligations under these Terms of Use to any third party or parties at any time.

Export Controls

In the event that software or technical data is accessed through the Site, such software or technical data may be subject to export, re-export and/or import controls arranged by the United States of America or other jurisdictions and you may not be able to download, export or re-export it under the law of any applicable jurisdiction, such as in the case of: (a) exports to (or to a national of or a person residing in) any country embargoed by the United States of America or exports subject to the Export Restrictions; (b) exports to any person named on the U.S. Treasury's Specially Designated Nationals list; or (c) exports made in violation of the U.S. Department of Commerce's Table of Denial Orders.

Applicable Law and Jurisdiction

The Terms of Use, including the Privacy and Cookie Policy and any matter relating to the Site, shall be construed in accordance with English law, without regard to any conflicts of laws. Any proceeding arising out of or relating to the Terms of Use against Nexus Group S.r.l. or relating to our company or any indemnified party shall be subject to the exclusive jurisdiction of the Courts of the United Kingdom whose jurisdiction you irrevocably acknowledge and agree to.
